Noel Tata opposes extension to N Chandrasekaran
Tata Trusts Chairman Noel Tata is of the firm view that the earlier decision by Tata Sons Chairman N Chandrasekaran not to seek reappointment is final and there is no need to revisit the matter.
Tata Trusts Chairman Noel Tata was unequivocal in his opposition to the five year extension given to Tata Sons Chairman N Chandrasekaran, who had earlier stated that he would be stepping down from his role in February 2027.
A formal statement from Noel Tata recalled that Chandrasekaran had himself offered not to seek reappointment for the role of Chairman on August 12, 2026, and this was duly accepted by the Tata Sons board, and a process was set in motion to find a successor.
However, the Tata Sons board, in a majority decision of 4-1, has now decided to reappoint N Chandrasekaran.
The letter from Noel Tata said, “A decision upon the chairmanship taken now, and afterwards found to have been taken in respect of a person whose office as director was not free from doubt, would be open to serious legal challenge by any shareholder who chose to bring it.”
Tata Sons is the holding company for all the Tata group companies. Tata Trusts holds 66% ownership in Tata Sons.
Last month, Chandrasekaran, in his resignation letter, had stated that he would not seek reappointment as there was no unanimity in the board on his extension, and that a single person (Noel Tata) had opposed the decision.
The leadership impasse at the Tata Group comes at a time when the Reserve Bank of India has directed Tata Sons to become a listed entity. This move was constantly opposed by Tata Trusts.
However, now the Tata Sons board has decided to go ahead with the reappointment of Chandrasekaran so as to ensure the smooth listing of the company.
Noel Tata noted that these two were separate developments. “Two questions have come before this Company at about the same time. One concerns the structure of the Company and its obligations to the regulator. The other concerns its leadership and the succession to the chair. They have arrived together. They are not, however, of the same kind, and they do not answer one another,” his statement noted.
The statement further noted, "It would not serve this Company for a regulatory development to determine the outcome of a succession process, and it would not serve this Company for a succession process to shape its regulatory posture.”
Noel Tata is of the firm view that each of the developments will be decided upon its own merits. As a final note, he said, “The Chairman has conveyed his decision; the shareholders have conveyed their acceptance; it is now time to move on.”
